Bettina Lampl, Head of M&A: “We See Ourselves as a Long-Term Partner”
Ms. Lampl, what role does M&A play in CREMER’s long-term growth and development?
M&A stands for “Mergers & Acquisitions”. For CREMER, M&A provides an opportunity to achieve our strategic goals faster or more effectively than would be possible through organic growth alone.
It is not about growth for growth’s sake. An acquisition must strengthen and complement our existing businesses, strengthen our ability to create value and move CREMER forward in the long term. That is why we take a very close look before taking the next step.
What does CREMER look for in potential acquisitions?
At the beginning, the key question is always whether a company is a strategic fit for CREMER. This includes several aspects: the business model, market position, customer relationships, geographic fit, but also corporate culture and values.
CREMER is active in a wide range of markets and regions. Accordingly, our potential M&A interests can span a broad range of markets and regions.. At the same time, we are very selective. A company must offer clear added value and align with our long-term strategy.
What makes CREMER an attractive partner for business owners considering a sale or looking for a long-term succession solution?
As a family-owned company, CREMER takes a long-term perspective. Values such as trust, stability and reliability also shape our approach to M&A.
This can be an important factor, especially for business owners who are looking for a long-term succession solution. Often, it is not only about the purchase price, but also about what will happen to the company, its employees, customer relationships and established culture. Many sellers want to feel confident that their life’s work is in good hands. CREMER can offer an attractive long-term perspective in this respect.
Business values such as trust, stability and reliability shape our approach to M&A.
How does CREMER differ from other buyers in this respect?
CREMER is not driven by short-term quarterly targets. We assess whether a company is a good long-term fit for CREMER.and whether we can develop something together. This often sets us apart from financial investors with a greater focus on short-term returns or an eventual exit.
Of course, the financials, risks and contractual terms also have to make sense. But it is equally about a shared understanding and the question of whether both sides are convinced that the partnership makes sense in the long term.
What does an M&A process at CREMER generally look like?
Every process is different, because every company and situation is unique. In general, we first assess together with the respective Business Unit whether a company would be a good strategic and financial fit for CREMER. This is followed by an initial valuation and, if the general assessment is positive, further discussions with the seller.
The central next step is the so-called due diligence, a detailed company review. This includes analyzing financial figures, legal and tax matters as well as potential risks. Based on these findings, we evaluate whether an acquisition makes sense and under what conditions.
CREMER does not think in short-term quarterly targets. We assess whether a company fits us in the long term.
What role does trust play in such a process?
A very important one. A successful transaction is about more than numbers and contracts. Especially when working with owner-managed businesses, the personal side matters too.
The seller also needs to feel confident that the right solution has been found. Trust is therefore particularly important in succession situations. Business owners want to know that their company will be in good hands.
How important is collaboration with the CREMER Business Units?
Very important. Many promising ideas arise directly within the business areas, because the teams know their markets, customers, suppliers and competitors very well. This market knowledge is essential for our work in M&A.
That is why we work closely with the units around the world and always assess potential acquisitions from both a strategic and a financial perspective.
CREMER operates internationally, and our M&A activities reflect that international reach. Depending on the business area, German, European or international companies may be of interest.
Thank you very much for the interview.
